The company secretary (or corporate secretary) performs the legal and statutory obligations of a corporate entity, usually achieved by filing annual returns and other documents to the appropriate government registers. In addition, the company secretary traditionally maintains the company's statutory registers.
The position of a company secretary requires profound expertise in international company law, therefore it is advisable that clients appoint an experienced and suitably qualified professional.
Within some jurisdictions the office of a company secretary is not statutorily recognised and accordingly there is no legal requirement to appoint a company secretary. Nevertheless, it is a realistic administrative condition to appoint a company secretary as banks and other third parties will accept documentation signed by the company secretary, on behalf of the corporate entity.
The company secretary, as an officer of the company, is liable, together with the company directors, for default fines and other penalties imposed by the appropriate government register.
